The customer (i) will use the products for internal security purposes or for internal security purposes of the customer`s related businesses that will acquire MSS services under this sub-silk and (ii) will not in itself be an affiliate of the customer or a third party: a) sell, lease, license, sell, distribute or transfer the products; (b) decipher, decompil, decompil, reconstruct, translate, redevelop or discover a source code of the software; (c) copying software or documentation, except that the client can make a reasonable number of copies of the documentation for internal use (provided the customer reproduces on those copies all ownership instructions from SecureWorks or its supplier); or (d) remove any language or name that indicates their privacy or ownership rights of SecureWorks or its suppliers, software, documentation or equipment. In addition, the client is not and does not allow unrelated third parties (I) to use the products on the basis of timeshare, outsourcing, service office, hosting, application service provider or managed service provider; (II) to change any aspect of software or equipment; or (III) to allocate, transfer, distribute or otherwise have access to a third party unrelated to any of these products, or to use another product with or for the benefit of an unrelated third party. 6.2 SecureWorks property rights. Between the customer and SecureWorks, SecureWorks owns all rights, titles and interests on and over products and services. This Agreement does not transfer or transfer to the Client or a third party rights, titles or interests on or on associated IP products and services or rights, but only a limited right of use, as granted and revocable in this Agreement. SecureWorks retains ownership of all copies of the documentation. SecureWorks undertakes to transfer to the customer all rights, titles and interests on and on devices purchased by the customer, with the exception of all rights, titles or interests of the software and all other SecureWorks IP products that are charged on these devices purchased by the customer. In addition, the client agrees that SecureWorks owns all rights, rights and interests of all IP addresses of all works, including, but not limited, to all inventions, procedures, procedures and computer programs, including source code or object code (and any improvements and changes made to them) contained in services and/or products (together “Works”) developed by SecureWorks as part of the provision of services as part of this underperformance and general applicability of SecureWorks` clientele, and the client addresses SecureWorks with all rights, titles and interests on and on any copyright that the client may have on this work; provided, however, that this work does not cover the client`s confidential information (as defined in Section 8), customer data, customer reports (as defined in Section 6.3) or any other information belonging to the client`s or client`s members. Without limitation of the above, SecureWorks is provided with all rights, titles and interest to all IP data on all advisory data, threat data, vulnerability data, scans, summaries, newsletters and information that is provided to the client in SecureWorks to provide its threat intelligence services (the “IT reports”).
During the duration of the services, SecureWorks grants the client a limited and non-exclusive license for the use of these works and IT reports only for the customer in order to obtain the Services and only for the internal security of the client or his partner. The customer recognizes that any license for SecureWorks` products, services, works and IT reports expires with the expiry or termination of any service order/SOW and/or this Contract. 14.2 Full agreement; Changes severability; Section titles. This contract and the order of service and/or LA SOW constitute the whole agreement between SecureWorks and the customer with respect to its property and replaces all agreements, agreements, communications and preconditions, written and written, accompanying or containing an order from the customer in relation to the services, including, but not limited to, all provisions
